Prague, 3 May 2007 - BENZINA a.s., PETROTRANS, a.s. and UNIPETROL DOPRAVA, a.s. changed their legal form as of 1 May 2007 from a joint stock company to a limited liability company. The change of legal form has been entered in the commercial register as o the same day. This change should contribute to the more effective and flexible management o these companies as part of implementation of the new corporate governance model within Unipetrol group.

The trade names of these companies after the change of legal form will be as follows BENZINA, s.r.o., PETROTRANS, s.r.o. and UNIPETROL DOPRAVA, s.r.o.

For the purposes of simplification of the day-to-day management of the companies, the position of CEO was cancelled within their internal management structure and the responsibilities have been allocated to the executives (statutory bodies of the companies).

The executives will decide about the business management of the company. PETROTRANS, s.r.o. and BENZINA, s.r.o. will have two executives after the change and UNIPETROL DOPRAVA, s.r.o. will have three executives.

The supervisory board will not be established in these companies, and its responsibilities will be exercised directly by the partners of these companies.

Their registered capital of PETROTRANS, s.r.o. and UNIPETROL DOPRAVA, s.r.o. remain the same, the registered capital of BENZINA, s.r.o. was slightly increased by 704 CZK up to 900,779,000 CZK. The change of the legal form will not adversely affect the liabilities of the companies to the creditors.

The sole partner of BENZINA, s.r.o. is UNIPETROL, a.s., the partners of PETROTRANS, s.r.o. are BENZINA s.r.o. (99,38 %) and UNIPETROL, a.s. (0,62%); UNIPETROL DOPRAVA, s.r.o. is owned by CHEMOPETROL, a.s. (99,88%) and UNIPETROL, a.s. (0,12%).

Unipetrol was inspired by large corporation and implemented the new corporate governance model as of January 1, 2007. One of the main goals o this process is increase of effectiveness, competitiveness and transparency of all internal processes in the group. This goal should be fulfilled by launching the shared services center, UNIPETROL SERVICES, s.r.o. as of April 1, 2007 as well as changing the legal form of some of the group's companies to the limited liability company. The share services center provides to other group companies some of the administrative and support activities, such as maintenance of accounting books and records, IT and HR services.

The benefits of the limited liability company legal form include for among others:

• General meeting is entitled to include in its powers any matters, including the matters falling within the powers of the executives (except giving instructions regarding the business management of the company)
• The partners of the company are entitled to make decisions outside of the general meeting (voting per rollam)
• The law guarantees a right to the partners of the company to request and receive information regarding the company, its business activities, including the right to inspect the accounting books and records
• The partners of the company are entitled to exercise direct supervisory of the business activities or other activities of the company.
